Senior Corporate Paralegal


The Senior Corporate Paralegal will report to the Company’s Associate General Counsel and will be responsible primarily with the management of legal entity formation and maintenance.  The Senior Corporate Paralegal will implement and administer the hCue legal entity management system.


  • Coordinate the implementation of and manage the hCue system for legal entity management; act as system administrator
  • Manage the process of setting up and maintaining legal entities
  • Draft and file formation and qualification documents with appropriate Secretary of State’s office
  • Draft and submit IRS EIN applications and publish the EIN
  • Draft corporate governance documents, including minutes of various committees and other governing bodies, resolutions and powers of attorney
  • Prepare or obtain entity documents, Officer’s Certificates, Good Standing Certificates
  • File annual compliance reports in all states requiring annual filings where entities are registered
  • Work with other departments (Asset Management, Tax, Accounting, etc.) to analyze the status of existing entities to determine if entities no longer hold assets and can be dissolved
  • Coordinate corporate formalities with CT Corporation and with outside counsel
  • Prepare KYC forms and organize KYC document submissions in connection with financing or securitization transactions, bond acquisitions or opening of bank and other accounts
  • Assist with providing corporate documents required for closings
  • Coordinate signing of closing documents
  • Process for payment all invoices related to legal entity set up, maintenance and registered agent representation and ensure they are appropriately allocated
  • Manage the process of obtaining and maintaining appropriate licenses such as commercial mortgage lending licenses
  • Under the supervision of the Associate General Counsel, review certain agreements and law firm engagement letters, prepare or review renewals or extensions of existing agreements and maintain the Legal Department’s database of agreements
  • Research issues that arise and suggest solutions
  • Assist the legal department with projects as needed



  • 4 – 6 years minimum of paralegal experience, preferably in a corporate setting
  • Associate’s Degree in Legal Assisting or higher and/or CLA, CP or Florida paralegal certification
  • Excellent working knowledge of Microsoft Applications: Word, Excel, Outlook and PowerPoint
  • Experience with hCue legal entity management system is a plus
  • Exceptional written and verbal communication and excellent editing and proofreading skills are required
  • Detail oriented
  • Impeccable organizational, time management and multi-tasking skills
  • Self-starter, ability to independently resolve inquires and issues with skill and sound judgment
  • Ability to maintain poise in a fast-paced environment and ability to work well under stressful situations
  • Must be able to demonstrate discretion in handling highly confidential information
  • Must be team-oriented and work well in a collaborative environment
  • Strong problem-solving skills a must
  • Knowledge of legal document drafting and preparation is required

Working Conditions

While performing the duties of this job, the Associate is occasionally required to stand; walk; sit; use hands to finger, handle, or feel objects, tools or controls; reach with hands and arms; climb stairs; balance; stoop. The Associate must occasionally lift and/or move up to 25 pounds. Evening and/or weekend work may be necessary to meet deadlines.
