Senior Paralegal, NPL and Special Servicing

Summary

SUMMARY

The Senior Paralegal, NPL and Special Servicing shall coordinate recording, publishing and shipping of the bank assignments and files.  Also coordinate the generation, signature and delivery of SPE assignments in accordance with the Company’s policies and procedures, through the delivery of properly executed assignment documents to local counsel for recording.

DUTIES AND RESPONSIBILITIES

  • Manage the legal aspects related to the process of transferring loans into special purpose entities (“SPE”)
    • Obtain PoAs from the trust upon closing on CMBS transactions
    • Approves naming of SPEs based on naming convention
    • Oversee formation of new entities
    • Coordinate operating agreements and PoAs for new SPEs
    • Review all SPE assignments
    • Manage relationships with outside counsel pertaining to SPE assignments
  • Manage the Company’s Custodial relationship, including
    • Draft Custodial Document Agreements and providing CIP Questionnaires and entity documents for each entity
    • Act as the liaison and an authorized signatory with respect to requests on behalf of the Company for release of Custodial originals
    • Monitor and sign off on the release and return of original documents
    • Work with the Custodian to clear document exceptions and control costs related to the maintenance of originals by the Custodian
  • Manage Legal Department participation in non-performing loan pools:
    • Receive and distribute data tapes
    • Receive and distribute exception reports
    • Review and clear custodial exceptions
    • Coordinate generation and deposit of pledge assignments to blank
    • Receive, review and prepare for deposit all bank files for new acquisitions.
    • Receive, review and prepare for recording all bank assignments for new acquisitions.
    • List deficiencies with documents and files received so we can request additional and/or corrective assignments
    • Maintain a detailed log tracking the status of all bank assignments sent for recording
    • Scan, publish and deposit all acquisition assignments
  • Distribute and track the Company’s service of process regarding litigation and other notices received by the Company’s registered agent, CT Corporation System, as well as through mail or FedEx; coordinate with internal parties and outside counsel as needed
  • Maintain and distribute Litigation Logs
  • Identify assets in RCAMS for service of process and outside callers
  • Assist with other projects as needed

SPECIFICATIONS

  • 6 – 8 years minimum of legal experience, preferably in a real estate setting
  • Commercial Real Estate experience preferred; Knowledge of title examination and corporate experience are a plus
  • Excellent working knowledge of Microsoft Applications: Word, Excel, Outlook and PowerPoint
  • Exceptional written and verbal communication and excellent editing and proofreading skills are required
  • Detail oriented
  • Impeccable organizational, time management and multi-tasking skills
  • Self-starter, ability to independently resolve inquires and issues with skill and sound judgment
  • Ability to maintain poise in a fast-paced environment and ability to work well under stressful situations
  • Must be able to demonstrate discretion in handling highly confidential information
  • Must be team-oriented and work well in a collaborative environment
  • Strong problem-solving skills a must
  • Knowledge of legal document drafting and preparation is required

Working Conditions

While performing the duties of this job, the Associate is occasionally required to stand; walk; sit; use hands to finger, handle, or feel objects, tools or controls; reach with hands and arms; climb stairs; balance; stoop. The Associate must occasionally lift and/or move up to 25 pounds. Evening and/or weekend work may be necessary to meet deadlines.
